How old the news is

How old a trade can be by the time it becomes public, under the deadline the law sets for each kind of filing. It is not how long we take: insider trades appear here within seconds, the rest within the hour. Most are a report after the fact; a planned sale is a notice filed before it, and a fund's holdings are already a quarter old on the day they are due.

How signals are scored

Only real purchases with the insider's own money count. Sells, grants and option exercises do not.
Size: $250K and up counts, $1M and up counts double, $5M and up triple.
Who bought: CEO, CFO, chair, president or founder counts most; directors and 10% owners next.
Cluster: two or more insiders, each putting in at least $5,000 of their own, buying the same company within 14 days counts a lot.
Congress: a member of Congress also reporting a buy adds to the score but never starts one.
Activist stake: an investor who just reported 5% or more, and less than 25%, and may seek changes adds to the score but never starts one. A quarter of a company or more is ownership, not an investor arriving.
Funds: a watched money manager that added the stock last quarter adds to the score but never starts one.
Three dots is the top score. It is rare on purpose.
